Our lawyers continue to advise on some of the largest and most significant capital markets transactions around the world. Examples of the global reach of our work include:

  • In the United States, our Firm represented the underwriters in the US$ 1.15 billion IPO by Och-Ziff Capital Management Group; GGP Limited Partnership in a US$ 1.55 billion offering of exchangeable notes; Vornado in a US$ 1.61 billion convertible debt offering; the initial purchasers in two carve-outs/spin-offs from Tyco International, including the US$ 2.75 billion debt offering by Covidien, formerly Tyco’s healthcare business, and the US$ 2.05 billion debt offering by Tyco Electronics; and the initial purchasers in the US$ 1.5 billion debt offering by American Water Capital Corp.
  • In Europe, we represented the underwriters in AstraZeneca’s US$ 6.9 billion debt offering, reportedly the third-largest corporate bond offering on record (“Corporate Bond of the Year,” Financial News, and “US Dollar Bond of the Year,” IFR); the placing agents in the US$ 604 million share placement on AIM by Dolphin Capital Investors (providing English law advice); Paris Re in its US$ 355.9 million global IPO and Euronext Paris listing (providing both French and U.S. law advice); the underwriters in the US$ 1.89 billion IPO by STRABAG, the largest public offering to date in Austria (providing German and U.S. law advice); the underwriters in several offerings by German issuers, including Tognum’s US$ 2.45 billion offering, which was the largest German IPO since 2000, Hamburger Hafen und Logistik’s US$ 1.7 billion IPO (providing German and U.S. law advice on each) and Merck KGaA’s US$ 2.67 billion capital increase; and Realia Business in its US$ 1.1 billion IPO in Spain. Our Firm acted in six additional European IPOs, and in approximately 50 debt offerings by issuers in Germany, Luxembourg, The Netherlands, Norway and the United Kingdom.
  • In the Asia-Pacific region, we acted in eight IPOs, including representing Alibaba.com Limited in its US$ 1.69 billion global IPO and listing in Hong Kong (Finance Asia’s “Best Equity Deal of the Year”/“Best IPO of the Year”); HSBC China Dragon Fund in its US$ 475.6 million global IPO and listing in Hong Kong; China Digital TV Holding in its US$ 221 million IPO and New York Stock Exchange listing; the underwriters in the global IPOs and Tokyo Stock Exchange listings of Sony Financial Holdings (US$ 2.96 billion; “Asia-Pacific Equity Issue of the Year,” IFR) and USJ Co. Ltd. (US$ 263 million); and the underwriters in the IPOs and NYSE listings by Yingli Green Energy Holding and China Nepstar Chain Drugstore. Additional noteworthy work on offerings by Asia-Pacific issuers included a US$ 175 million high yield debt offering by Bemax Resources, an A$ 1.2 billion rights offering and private placement by Lihir Gold Limited, a US$ 2.1 billion block trade of the shares of LG Display Co. Ltd. (formerly known as LG.Philips LCD), and a US$ 490 million convertible offering by Tata Motors (Finance Asia’s “Most Innovative Deal”).
  • In Latin America, we continued to advise on sovereign offerings by the Federative Republic of Brazil, the Republic of Colombia, the Republic of Panama, the United Mexican States and Corporación Andina de Fomento; represented Bancolombia in its first SEC-registered equity offering since its 1995 IPO and in its first-ever SEC-registered debt offering; advised Transportadora de Gas del Sur in a tender offer and notes offering; advised Ixe Banco in a US$ 120 million hybrid offering; and acted for the underwriters in a US$ 2 billion offering by Pemex and in two hybrid offerings by CEMEX with an aggregate value of approximately US$ 1.74 billion, following an innovative US$ 1.25 billion CEMEX offering in which we acted as structuring counsel and counsel to the initial purchasers in December 2006.
